The following provisions govern your use of the Payello Account. By using the services described in these terms of use, you are agreeing to be bound by these terms of use.
Do not use any of our services if you do not accept these terms.
These terms and conditions and all linked provisions are a legally binding agreement by you and us and it is important that you take the time to read them thoroughly and carefully.

Overview

This document sets out the terms and conditions of the contract between you and Payello Ltd governing your use of your Payello account and the Payello Services.
Payello Ltd is a Private limited Company registered in England and Wales with Company number 12064805 and Registered office address: International House, 64 Nile Street, London, United Kingdom, N1 7SR.
These terms apply to residents of the United Kingdom - England, Scotland, Wales and Northern Ireland.
We provide our services through the Payello Platform and Applications. However, we also provide our services through APIs, alternative applications, and other means. These terms apply whenever and however you access our services. This means they apply to all the ways you can access a particular service, even if we refer to the service being accessed through a specific means in these terms.

Changes to these terms

We may revise this document and any of the associated documents from time to time. The revised version will be effective at the time we post it, unless otherwise noted. If our changes reduce your rights or increase your responsibilities, we will provide notice to you of at least two months.
We will only make changes to these terms and conditions:
(i)           if we think it will make them easier to understand or more helpful to you;
(ii)          to reflect the way our business is run, particularly if the change is needed because of a change in the way any financial system or technology is provided;
(iii)         to reflect legal or regulatory requirements that apply to us;
(iv)         to reflect changes in the cost of running our business; or
(v)          because we are changing or introducing new services or products that affect our existing services or products covered by these terms and conditions.

Types of Account

We offer two types of accounts – Personal Accounts and Business Accounts.
If you wish to use Payello for commercial or business purposes, such as selling things, you must open a Business Account. It is not permitted to use your Personal Account for commercial or business purposes.

Personal Accounts

Personal accounts are for individuals to use the account for personal purposes other than a trade, business or profession.

Business accounts are for people and organisations (whether incorporated or not) that primarily use Payello to receive online payments for sales or donations.

You must be a resident of United Kingdom and be aged 18 or older to open a Payello Account in the United Kingdom.
You are not allowed to:
You may not open a Payello account if you are a Bank, Financial Institution or perform any of the restricted activities listed in our Acceptable Use Policy without prior written permission from Payello.

Personal Information

We collect, store, and use your Personal Information in line with our Privacy Policy, which you can find on our website at https://payello.com/legal/privacy
You must keep your Personal Information up to date and let us know immediately if any information you've given us changes.

Account Security

We do everything we can to keep your money safe. We ask you to do the same by keeping your security details and Payello account safe.
It is your responsibility to ensure that the Account is only accessed by you or your Authorised Persons and that you, including your Authorised Persons, employees and agents, keep your login details, passwords, or other security features associated with your access safe and secure.
If you have any knowledge or any suspicion that any of these security features have been stolen, misappropriated, improperly disclosed to a third party or used without authorisation or otherwise compromised you must contact us immediately.
We agree that we shall use industry standard practices to ensure that the Account is kept secure and will inform you promptly of any attempted hack or unauthorised access to the Account.

The Payello Services

The Payello services are provided "as-is" and without any representation or warranty, whether express, implied or statutory.
Payello does not guarantee continuous, uninterrupted or secure access to any part of the services.

Payello Wallet

Payello Wallet can be used to accept, send, and request payments to and from Payello and non-Payello accounts in all supported currencies to over 180 countries worldwide.

Payello Payments

Payello Payments can be used to accept payments online or at physically via a range of supported payment methods from over 180 countries worldwide.

Payello Checkout

Payello Checkout can be used as a hosted checkout page to collect information from your buyers and take payments via Payello Payments.

Payello Transfers

Payello Transfers can be used to transfer money in your Payello Wallet account to an account at a supported third-party institution.

Payello Issuing

Payello Issuing can be used to create virtual and physical payment cards which can be used to pay for things online or in person.

Payello Flows

Payello Flows can be used to automate actions on Payello services or third-party services when a specific event is triggered.

Currency Exchange

Currency Exchange can be used to convert or "swap" one currency for another.

Indemnification

You are responsible for understanding and complying with any and all laws, rules and regulations of your specific jurisdiction that may be applicable to you in connection with your use of our services (for example, in relation to regulated activity, licensed activity, export or import activity, taxes or foreign currency transactions).
You agree to defend, indemnify and hold Payello harmless from any claim or demand (including reasonable legal fees) made or incurred by any third party due to or arising out of:

Limitation of Liability

In no event shall Payello be liable for arising out of or in connection with our websites, software, systems (including any networks and servers used to provide any of the Payello services) operated by us or on our behalf, any of the Payello services, or this user agreement (however arising, including negligence), unless and to the extent prohibited by law:

Languages and Translation

We will communicate with you in relation to the Terms in English only. Any translation of these Terms are provided solely for your convenience and is not intended to modify the terms of this agreement. In the event of a conflict between the English version of this user agreement and a version in a language other than English, the English version shall be the definitive version.
The Payello websites, software, systems and services are available in English and may be available in alternative languages. You understand that translations are provided solely for your convenience and might not always be an accurate translation of the English version.
